Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and AiofEffect LLC ("Company," "we," "us," or "our") governing your access to and use of Apodeix, including our website, SMS messaging service, web dashboard, and any related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
Description of Service
Apodeix is an expense tracking and receipt management platform that allows users to:
- Capture receipts by sending photos via SMS text message
- Automatically extract receipt data using optical character recognition (OCR) and artificial intelligence
- Organize and categorize expenses for personal or business use
- Generate reports and export data for tax preparation or accounting purposes
- Access a web dashboard to view, edit, and manage receipts
The Service is provided on an "as-is" basis, and features may be modified, suspended, or discontinued at any time with reasonable notice.
Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate and current
- Maintain the security of your account credentials and not share them with others
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access or security breach
You must be at least 18 years old to create an account. By registering, you represent that you meet this age requirement.
SMS Messaging Consent
By providing your phone number and using the SMS features of Apodeix, you expressly consent to:
- Receive text messages from Apodeix at the phone number you provide
- Send SMS messages and MMS (picture messages) to your assigned Apodeix phone number
- Message and data rates applied by your mobile carrier
Opting Out: You may opt out of SMS messages at any time by texting "STOP" to your Apodeix number. Note that opting out will disable the SMS receipt capture functionality of the Service.
Message Frequency: Message frequency varies based on your usage. We will send confirmation messages when receipts are processed and may send occasional service notifications.
Subscription Plans and Payments
Free Tier
The free tier allows processing of up to 5 receipts per month. Free tier users have access to basic features including OCR extraction, web dashboard, CSV export, and standard tax categories.
Paid Subscriptions
Paid subscription plans provide additional features and higher receipt limits. By subscribing to a paid plan, you agree to:
- Pay the subscription fees as stated at the time of purchase
- Automatic renewal at the end of each billing period unless cancelled
- Provide valid payment information and authorize recurring charges
Billing and Cancellation
Subscriptions are billed monthly. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months or unused receipts.
Price Changes
We reserve the right to modify pricing with 30 days' notice. Price changes will apply to the next billing cycle after the notice period.
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the Service for any illegal or unauthorized purpose
- Submit fraudulent, falsified, or misleading receipt images
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or attempt to extract source code
- Use automated tools to scrape or extract data without authorization
- Resell, redistribute, or sublicense access to the Service
- Use the Service to commit tax fraud or misrepresent expenses
- Upload malware, viruses, or malicious content
- Harass, abuse, or harm our staff or other users
Violation of this policy may result in immediate account suspension or termination.
Your Content and Data
Ownership
You retain ownership of all receipt images, expense data, and other content you submit to the Service ("Your Content"). We do not claim ownership of Your Content.
License to Us
By submitting Your Content, you grant us a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or close your account.
Your Responsibilities
You are solely responsible for:
- The accuracy and legality of Your Content
- Ensuring you have the right to submit Your Content
- Maintaining backup copies of important data
- Verifying extracted data for accuracy before use in tax filings or financial records
Intellectual Property
The Service, including its design, features, code, graphics, and content (excluding Your Content), is owned by AiofEffect LLC and protected by copyright, trademark, and other intellectual property laws.
"Apodeix" and our logo are trademarks of AiofEffect LLC. You may not use our trademarks without prior written consent.
Service Limitations and Disclaimers
OCR Accuracy
While we strive for accuracy, our OCR and AI technology may not always correctly extract receipt information. You are responsible for reviewing and verifying all extracted data. We are not liable for errors in OCR processing or AI categorization.
Not Financial or Tax Advice
Apodeix is a tool for organizing receipts and expenses. We do not provide financial, tax, legal, or accounting advice. Consult qualified professionals for advice specific to your situation. We are not responsible for any tax or financial decisions you make based on Service data.
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIOFEFFECT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from OCR errors, miscategorization, or data extraction inaccuracies
- Tax penalties or financial losses resulting from reliance on Service data
- Service interruptions or data loss
Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
Indemnification
You agree to indemnify, defend, and hold harmless AiofEffect LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your Content or data you submit
- Your violation of any third-party rights
Termination
By You: You may terminate your account at any time through your account settings or by contacting support. Upon termination, your access to the Service will end, and we will delete your data according to our data retention policies.
By Us: We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion. We may also terminate accounts that remain inactive for extended periods.
Effect of Termination: Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.
Dispute Resolution
Informal Resolution
Before filing a formal dispute, you agree to contact us at support@aiofeffect.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English. You waive your right to participate in class actions or class arbitrations.
Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
General Provisions
- Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and AiofEffect LLC regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
